Abstract
The Company Law of the People's Republic of China describes the

of directors, namely the duty of loyalty and the duty of diligence. However, the details of China's provisions on the obligations of directors have not yet been optimized, which is in stark contrast to other countries, such as the United States, in the details of legislation on the
